As Lead Editor of the Hong Kong Lawyer (the official monthly publication of The Law Society of Hong Kong), Sonali is responsible for all aspects of the journal, from commissioning and writing to editing and also overseeing the production process, along with the Hong Kong Lawyer website and newsletter. The journal has over 13,000 monthly subscribers with the online version receiving around 60,000 hits per month. In her role, Sonali ensures the quality of content, layout and style is maintained, builds and nurtures relationships with industry experts as well as keeps up with legal trends and developments to inform the journal’s editorial strategy.

Raymond Goh, Group General Counsel, International, China Tourism Group Corporation Limited
Raymond is the General Counsel, International, of China Tourism Group Corporation Limited with oversight of the legal and compliance, enterprise risk management, corporate governance and regulatory affairs of the Group’s business units, principal investments and strategic initiatives around the world.
He has received various industry awards over the years and was recognized as one of the most influential and innovative corporate counsels in China and Hong Kong (Legal 500 GC Powerlist) in 2017.
Prior to joining CTG, he has spent more than eighteen years in senior management, corporate development and enterprise risk management roles with leading multinational diversified conglomerates, a leading bulge bracket investment bank, and in private practice with Magic Circle and Wall Street law firms where he focused on capital markets transactions, cross border mergers and acquisitions (public and private companies), technology and intellectual property, fund raising, strategic acquisitions, principal investments and international regulatory affairs across North America, Europe, Africa, Asia and Australia.
Raymond is a graduate of Columbia Law School, New York and The Wharton School’s Advanced Management Program for Senior Executives.
Cecil Wong, Executive Director and CFO, China Shine Capital
Mr. Wong is an experienced finance professional with over 25 years track record of working across multiple sectors including Investment Banking, Fin-tech and Infrastructure. He has hands on experience in IPO and Debt Capital Markets. He also managed M&A's and private equity transactions in different countries including China; Hong Kong; Australia, Greece and London. Successfully managed several corporate restructurings for significant transformation & value creation – through reverse takeover, transfer of listing from GEM to Main Board at HKEX.
He is also an experienced accountant awarded fellow membership of CPA (Australia); CIMA (UK); CGMA and MBA with 13+ years of post-qualification experience in the Fin-tech start-up and private equity areas, skilled in budgeting, planning, forecasting, financial and management reporting, taxation, treasury, compliance, investor relations & capital raising. He is currently the Executive Director and CFO at China Shine Capital. Prior to this, he also worked respectively as CEO at a Hong Kong listed company Perfectech International and as Group CFO at Formax Group. Before his career as CFO, he worked as senior investment and corporate banker, respectively at Bank of China (HK); OCBC; China Construction Bank and Sumitomo Bank, Hong Kong branch.
Clement Jiang, Partner, Commerce & Finance Law Offices in Association with Eric Chow & Co.
Clement Jiang is a corporate partner in Eric Chow & Co. in Association with Commerce & Finance Law Offices. His practice areas include capital markets transactions, mergers and acquisitions, company law and other compliance works associated with The Stock Exchange of Hong Kong Limited.
Mr. Jiang joined Commerce & Finance in September 2018. Prior to joining Commerce & Finance, Mr. Jiang worked for two other leading international law firms in Hong Kong for 8 years and a leading semiconductor technology company in California for 10 years.
Mr. Jiang is qualified to practice law in Hong Kong and the State of New York. Mr. Jiang is a Chartered Engineer registered with the U.K. Engineering Council and a Patent Attorney registered with the U.S. Patent and Trademark Office.
Gary Tam, Corporate Finance Director, Commerce & Finance Law Offices in Association with Eric Chow & Co.
Gary Tam is a corporate finance director in Eric Chow & Co. in Association with Commerce & Finance Law Offices.
Gary worked in HKEX (Listing Division) for over 20 years. He later joined CCBI in 2015 – 2017, worked in compliance and internal control. He is very experienced in Listing rules, compliance and regulations. He is also a Certified Public Accountants, worked in KPMG from 1987 to 1991.
During the time he worked in HKEX, he reviewed over 1,500 initial public offering applications, including applications from international, China and Hong Kong Companies. He also responsible for the regulatory and compliance works of the listed companies. He mainly focused on the initial public offering, regulatory, merger and acquisitions and compliance work.
Brandon Chow, Counsel, Commerce & Finance Law Offices in Association with Eric Chow & Co
Brandon Chow is a counsel in Eric Chow & Co. in Association with Commerce & Finance Law Offices.
Brandon’s practice focuses on equity capital market transactions including representing both issuers and underwriters in initial public offerings on the Hong Kong Stock Exchange. He has experience in a wide range of corporate and commercial matters, including public takeovers and pre-initial public offering investments. He also regularly advises clients on corporate and securities laws, governance issues, and Hong Kong Stock Exchange compliance and regulatory matters. Brandon advises clients across a range of industries, and has a particular focus on the technology, healthcare and real estate sectors.
Prior to joining Eric Chow & Co. in Association with Commerce & Finance Law Offices in 2019, Mr. Chow practiced at a leading U.K. law firm in Hong Kong.
Jimmy Chan, Partner and Head of Financial Regulation, Jingtian & Gongcheng LLP
Jimmy Chan is a Partner of Jingtian & Gongcheng, a leading law firm in the PRC. Jimmy spent 14 years with the SFC and served as a Director and Head of International and Policy of the Enforcement Division. He was twice awarded the Outstanding Individual Award by the SFC for his efforts on the Lehman Brothers Minibond resolution and the securities and futures appellate work respectively.
Jimmy has substantial experience in cross-border financial investigations and SFC disciplinary proceedings involving financial intermediaries (banks, brokerage firms and sponsors). Currently he represents numerous listed companies and financial institutions in financial regulatory investigations.
He has law degrees from the University of Hong Kong, University College London and Harvard Law School and was a Chevening Scholar and Harvard University-HKJC Graduate Scholar. He is qualified as a solicitor in Hong Kong and England and Wales and as an attorney in the State of New York.
Stella Yeung, Partner, Jingtian & Gongcheng LLP
Stella Yeung is a Partner of Jingtian & Gongcheng LLP. She holds a Postgraduate Diploma in Law from the University of Hong Kong and a Bachelor of Science Degree in Banking and Finance from the University of London. The major areas of focus of Stella Yeung includes capital market, merger and acquisition and takeovers transactions. Prior to joining our firm, Stella worked in an internal law firm, focusing in corporate and capital market. She also previously worked in the Listing Division of the Stock Exchange of Hong Kong Limited. Stella is admitted as solicitor of High Court of Hong Kong and Supreme Court of New South Wales.
Stella has extensive experience in advising capital markets deals and mergers and acquisitions transactions in Asia with unique features. She has advised on numerous securities offerings on the Hong Kong Stock Exchange, public takeovers and listing rules related transactions. Ms. Yeung has advised various investment banks and companies on initial public offerings in Hong Kong, including state-owned enterprises and red-chip companies. Ms Yeung's representative deals included: acted for China Huaneng Group in its HKD 16 billion privatization of Huaneng Renewables by way of voluntary general offer; acted for Phoenix Healthcare (now renamed as China Resources Medical Holdings Company Limited) on its USD 480 million acquisition of certain hospital businesses of China Resources Healthcare Group, one of the largest state-owned enterprises in China’s healthcare.
Dr. Mengyu Lu, Partner, Kirkland & Ellis
Dr. Mengyu Lu is a partner in Kirkland & Ellis’ Hong Kong office who leads the Hong Kong capital markets practice. Dr. Lu has extensive experience advising on IPOs and listings on The Stock Exchange of Hong Kong Limited, pre-IPO financings of issuers, mergers and acquisitions, and post-listing matters. She is particularly recognized in advising issuers in the “new economy” sectors, including healthcare, new consumer and TMT sectors on their Hong Kong IPOs. Dr. Lu advised the first biotech listing under the new regime in 2018. Over the years, she has assisted numerous biotech and healthcare clients on their listings in Hong Kong, including leading players in different sub-sectors of the pharmaceutical and medical device industries. Her representative matters include, among others, Ascletis, CanSino Bio, AlphaMab, Henlius, Viva Biotech, Kangji Medical, Ocumension, Basecare, MicroPort CardioFlow, Zhaoke Ophthalmology, Keymed, Clover Bio, EDDA and Airdoc.

Joanna Caen, Managing Director, PraxisIFM (Hong Kong) Limited
Joanna is a qualified solicitor in New Zealand and Hong Kong. She practiced for 13 years and was previously a partner for international law firm Herbert Smith Freehills. In July 2020 she made the career jump to be our managing director in Hong Kong.
Joanna has spent her entire career helping clients protect and grow their assets, whether through on or offshore corporate, trust or foundation structures. She also has experience and expertise in pre-IPO planning, pension and other retirement planning, and philanthropy. Acting for individuals, families, single and multi-family offices, and intermediaries looking to assist their clients, Joanna is familiar with most Asian jurisdictions, as well as those further afield which are also of interest to her clients including the USA, Canada, UK, Europe and United Arab Emirates.
Joanna is presently Chair of the Society of Trust and Estate Planning in Hong Kong. She has been shortlisted for the 2022 Citywealth Powerwomen awards under the category Leadership – Financial Organisation (Managing Director).
Dr. Maurice Ngai, Director and Group CEO, SWCS Corporate Services Group (Hong Kong) Limited
Dr. Ngai Wai Fung is the Director and Group Chief Executive Officer of SWCS Corporate Services Group (Hong Kong) Limited. Dr. Ngai is a top-notch governance professional, a regular popular speaker on corporate governance and risk management subjects, and has been acting in the capacity of an independent non-executive director (“INED”) of reputable listed companies on HKEX and SSE, and a specifically selected candidate from the “talent pool” of SASAC of the State Council for an INED and an external director of state-owned companies.
Dr. Ngai is currently a member of the General Committee and the Chairman of Membership Services of Sub-Committees of the Chamber of Hong Kong Listed Companies. Mohan Datwani, Deputy Chief Executive, The Hong Kong Chartered Governance Institute
Mr Mohan Datwani FCG FCS(PE) Solicitor, Accredited Mediator, Governance Professional, LLB LLM MBA (Iowa) (Distinction), FHKIoD. Mr Datwani was an owner of a leading US international law firm, then joined a major client’s invested listed frontier mining company as General Counsel and senior management. He is now Deputy Chief Executive of The Hong Kong Chartered Governance Institute (HKCGI) applying his legal and business skill sets to promote good governance. Mr Datwani also serves on a number of Government boards, including the Equal Opportunities Commission as public service, and a Directors of the Year (2018) awardee.
Warren Lee, Founder and Director, Yu Ming Group
Warren Lee Wa Lun, aged 57, is the founding director of Yu Ming Investment Management Limited (“Yu Ming”) since August 1996. Yu Ming is a financial adviser licensed by the Securities and Futures Commission to carry out type 1 (dealing in securities), 4 (advising in securities), 6 (corporate finance) and 9 (asset management) regulated activities in Hong Kong under the Securities and Futures Ordinance. The principal activities of Yu Ming are corporate finance and investment management. Before founding Yu Ming, Mr. Lee worked for Sun Hung Kai International Limited (“SHKI, the corporate finance subsidiary of Sun Hung Kai & Co. Limited) between July 1992 and April 1997. During his working experience with Yu Ming and SHKI, Mr. Lee handled over 450 corporate finance transactions involving mainly listed companies and to a lesser extent unlisted companies, covering a wide spectrum of transactions, including new listing, issue of equity, loans, convertible securities, asset injections, mergers and acquisitions, takeovers, privatization, resumption of listing and debt restructuring. Before that, Mr. Lee worked at the Corporate Banking Department of ABN Amro Bank N.V. between March 1988 and July 1992, mainly responsible for loan credit analysis, preparation of credit application and review of loan documentation.
Mr. Lee graduated with a Bachelor of Science Degree in Computing Science from The University of East Anglia in England in July 1986 and obtained a distinction in Master of Science Degree in Shipping, Trade and Finance from The City University Business School in London in March 1988.
Yongkai Wong, Head of Special Project and Co-General Counsel, CITIC Capital
Yongkai Wong is a managing director, head of special projects and co-general counsel of CITIC Capital. Wong oversees CITIC Capital’s special projects and overall legal and execution coverage for the company’s outbound investment activities.
Additionally, he is the Executive Vice Chairman of GNC Holdings, a leading global health and wellness company, and general manager of Harbin Pharmaceutical Group Holdings. Prior to CITIC Capital, Wong was associate general counsel for APG Asset Management Asia, one of the world’s largest institutional investors.
Wong has broad experience in alternative investments across the US, Europe and the Asia-Pacific in a wide range of transactions including complex debt financings and restructurings, capital markets, structured and securitised products, and corporate M&A transactions such as corporate real estate, special situations, private equity and hedge fund formations. Wong has won numerous industry awards and is a frequent speaker at various industry events.
He is a graduate of Harvard Business School, and has an MBA from Chicago Booth School of Business. He also holds an LLM (first honours) from the University of Cambridge.
